1. Agreement to Terms
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Shawn's Hub ("we," "us" or "our"), concerning your access to and use of our website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto, and any services provided by us.
You agree that by accessing the site or utilizing our services, you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the site and services and you must discontinue use immediately.
2. Services Description
Shawn's Hub provides comprehensive digital growth services, including but not limited to:
- Strategic Marketing Campaigns (including Meta Ads)
- Custom Web Development and Design
- Mobile Application Development
- GoHighLevel CRM Setup and Integration
- Professional Video Editing and Content Creation
The specific deliverables, timelines, and technical specifications will be detailed in individual Statements of Work (SOW) or Service Agreements signed by both parties.
3. Client Responsibilities
To ensure the successful delivery of our services, clients agree to:
- Provide necessary access to accounts, platforms, and assets in a timely manner.
- Appoint a primary point of contact for timely feedback and approvals.
- Ensure all provided materials (text, images, branding) do not infringe on third-party intellectual property rights.
- Respond to requests for information or approvals within the agreed-upon timeframe to avoid project delays.
4. Payment Terms
Our payment terms are designed to ensure fair compensation for work delivered:
- Invoicing: Invoices are typically issued based on project milestones or on a monthly retainer basis.
- Terms: All invoices are payable Net 30 days from the date of issue unless otherwise specified in your specific Service Agreement.
- Accepted Methods: We accept bank transfers, major credit cards, and approved third-party payment processors.
- Late Fees: Outstanding balances beyond the 30-day period may incur a late fee of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts more than 15 days past due.
5. Intellectual Property Rights
Unless otherwise indicated in a specific agreement, upon full payment, the client retains ownership of all final deliverables customized specifically for them. However, Shawn's Hub retains ownership of all underlying code, tools, methodologies, and frameworks used in the creation of those deliverables.
We reserve the right to use non-confidential project assets and general descriptions of the work completed for our own promotional purposes (e.g., portfolio, case studies) unless a Non-Disclosure Agreement (NDA) specifically prohibiting this is executed.
6. Confidentiality
Both parties agree to hold in strict confidence any proprietary or confidential information received from the other party during the course of the engagement. This includes business strategies, trade secrets, financial data, and proprietary technical information. This obligation survives the termination of this agreement.
7. Limitation of Liability
In no event will Shawn's Hub, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or our services, even if we have been advised of the possibility of such damages.
Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.
8. Termination
Either party may terminate the engagement by providing a 30-day written notice to the other party, subject to the terms of any active Service Agreement. Upon termination, the client is responsible for payment for all work completed up to the termination date. We reserve the right to withhold deliverables until all outstanding balances are settled.
9. Dispute Resolution
Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the state and federal courts located in the jurisdiction where Shawn's Hub's principal office is located, and the parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such courts.
10. Changes to Terms
We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Terms and Conditions, and you waive any right to receive specific notice of each such change.
